Partnership law
Partnership disputes normally fall to be determined either in line with the partnership agreement or in accordance with the Partnership Act 1890. Those governed by a partnership agreement may involve disputes about negotiating the terms or the interpretation and performance of those terms and can include complex issues such as classes of partner, financing and profit sharing arrangements, management structures, restrictive covenants and confidentiality. Issues can range from the minor, where intervention is required to prevent escalation, to major issues such as disciplinary proceedings, dismissal or enforcement proceedings.
The Partnership Act 1890
Where there is no written partnership agreement, the parties may have to rely on the implied terms of the Partnership Act to determine things like participation in management, profit share, indemnity against business liabilities and ending the partnership. This requires considerable understanding of the both the statutory provisions and surrounding case law as well as a factual understanding of the circumstances in which the partnership was formed.
